AISIX Cloud User Agreement

This AISIX Cloud User Agreement, including all documents and terms incorporated by reference herein (collectively, the "Agreement"), is entered into by and between APISEVEN PTE. LTD ("AISIX", "we" or "us") and the organization you identified when you registered to use the Services ("Customer"). AISIX and Customer are each referred to herein as a "Party", or collectively, "the Parties".

This Agreement is effective on the date you registered to use the Services (the "Effective Date").

BY REGISTERING TO USE THE SERVICES, YOU AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT ON BEHALF OF YOUR ORGANIZATION. YOU REPRESENT AND WARRANT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND YOUR ORGANIZATION TO THIS AGREEMENT, AND THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU OR YOUR ORGANIZATION DOES NOT AGREE WITH THE TERMS, YOU SHOULD NOT ACCEPT IT.

1. Definitions

The following terms have the following meanings:

"AI Provider" means a third-party provider of large-language-model or other artificial-intelligence services that the Services route requests to and receive responses from.

"Provider Credentials" means the API keys or other credentials for an AI Provider that Customer supplies to, or configures within, the Services.

"Input" means the prompts, messages, instructions, files, and other content that Customer or its Authorized Users submit through the Services to an AI Provider.

"Output" means the responses generated by an AI Provider's model and returned to Customer through the Services.

"Customer Content" means Input, Output, and other data that Customer or its Authorized Users provide to or process through the Services.

"Cloud Services" means the applicable version of AISIX's cloud-hosted AI gateway control plane and dashboard.

"Software" means the AISIX AI gateway software and its control-plane and data-plane components, and any other software included with a Subscription, including any self-hosted data plane binary, container image, and the self-hosted or Enterprise Dashboard, and including any generally available updates, but excluding open source software components, each of which has its copyright notice and license included in the license file and Documentation.

"Services" means, collectively, the Cloud Services and the Software.

"Authorized User" means an individual whom Customer authorizes to use the Services.

"Subscription" means a subscription for the Services or Support, and "Support" means the maintenance and support services AISIX provides with a Subscription, if any.

2. The Services

The Services are an AI gateway: they route, manage, secure, meter, and apply policies (such as rate limits, budgets, caching, and guardrails) to requests that Customer and its Authorized Users send to AI Providers, and return the AI Providers' responses. You may access and use the Services in accordance with this Agreement.

You will comply with all laws, rules, and regulations applicable to your use of the Services. We may change, suspend, or discontinue any part of the Services, and will notify you of any material change by email or via our website. Some Services may be offered in preview or "beta" form; AISIX is not liable for any damages in connection with your use of a beta offering, and we have no obligation to release a final version.

3. Registration and Your Account

To register, you must create an account and provide complete and accurate information, and keep it accurate. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials.

4. AI Providers and Provider Credentials

4.1 Intermediary role. The Services act as an intermediary that transmits your Input to, and returns Output from, the AI Providers you select. We do not provide the AI models themselves, and we do not control and are not responsible for an AI Provider's models, availability, pricing, changes, deprecations, or Output.

4.2 Provider terms. Your use of each AI Provider through the Services is also governed by that AI Provider's own terms and acceptable-use or usage policies. You are responsible for reviewing and complying with them, and you will not use the Services in a manner that would breach them.

4.3 Credentials and upstream charges. You are responsible for your Provider Credentials, for keeping them secure, and for all fees, charges, and usage that an AI Provider bills for requests made with your Provider Credentials. AI Provider charges are separate from, and in addition to, the fees AISIX charges for the Services.

5. Customer Content and AI Output

5.1 Ownership and responsibility. As between the Parties, Customer owns its Input and, to the extent permitted by applicable law and the relevant AI Provider's terms, its Output. You represent that you have all rights necessary to submit your Input and that your Input and your use of Output do not violate this Agreement, any applicable law, or any third party's rights.

5.2 Our use of Customer Content; no model training. AISIX processes Customer Content to provide, secure, and maintain the Services for you — for example, to route requests to AI Providers, meter usage, apply caching and guardrails, and provide logging, observability, and support as you configure. AISIX does not use Customer Content to train, fine-tune, or otherwise develop or improve any AI or machine-learning models. AISIX may also create aggregated or de-identified data from Customer Content and use it to analyze and improve the Services, as described in §9.3; such data does not identify you or any individual and is likewise never used by AISIX to train or develop models. This no-training commitment is AISIX's own and applies to AISIX only. Input and Output are transmitted to the AI Provider you select and are processed under that AI Provider's terms, which may permit the AI Provider to use, retain, or train on them; that use is governed by your agreement with the AI Provider, not by this Agreement, and AISIX neither controls nor is responsible for it (see §4).

5.3 Output is provided "as is". Output is generated by third-party AI models and may be inaccurate, incomplete, out of date, offensive, or otherwise inappropriate, may not be unique, and may not reflect AISIX's views. You are responsible for evaluating Output for accuracy and suitability for your use case. You should not rely on Output as the sole basis for decisions that have legal, medical, financial, or other significant consequences without appropriate human review. AISIX makes no warranty of any kind regarding Output.

6. Acceptable Use

You will not, and will not permit any Authorized User or third party to, use the Services to:

  1. violate any applicable law or any AI Provider's acceptable-use or usage policy;
  2. generate, solicit, or distribute content that is illegal, including child sexual abuse material, or that infringes or misappropriates any intellectual-property or privacy right;
  3. attempt to defeat, bypass, or interfere with an AI Provider's safety systems or the Services' guardrails, rate limits, or budget controls;
  4. generate or facilitate malware, phishing, fraud, harassment, or large-scale disinformation, or otherwise use Output for malicious purposes;
  5. submit Input that you do not have the right to submit, or that contains another person's personal data without a lawful basis; or
  6. use the Services in a way that poses a risk to the Services or any third party.

7. Data and Security

Each Party has obligations with respect to the security of the Services. We implement and maintain appropriate technical and organizational measures, including encryption of Provider Credentials at rest and isolation of tenant data. You are responsible for properly configuring and using the Services, for the legality of your Input (including any personal data it contains), and for taking your own steps to maintain appropriate security and backup of your data. Our processing of personal data is described in the Privacy Policy.

8. Payment and Taxes

We calculate and bill fees for the Services (for example, based on requests or tokens processed) as described on the applicable site. AISIX fees are for the gateway Services only and are separate from any charges an AI Provider bills for your usage (see §4.3). All amounts are exclusive of applicable taxes, and all amounts paid are non-refundable except as expressly stated. We may increase, add, or otherwise change fees and pricing for the Services by updating the applicable site, and your continued use of the Services after a change takes effect constitutes acceptance of it.

9. Intellectual Property and Restrictions

9.1 Ownership. This Agreement does not transfer any right, title, or interest in the Services or any AISIX intellectual property to Customer, except as expressly set forth herein. If you give us feedback about the Services, we may use it without restriction or payment.

9.2 Restrictions. You may not:

  1. modify, alter, tamper with, repair, or create derivative works of any software included in the Services;
  2. reverse engineer, disassemble, or decompile the Services, or apply any other process to derive the source code of any software included in the Services — this restriction applies to the Cloud Services and to any self-hosted data plane binary, container image, or the self-hosted or Enterprise Dashboard;
  3. access or use the Services in a way intended to avoid incurring fees, or to circumvent, disable, or tamper with any license key, metering, quota, billing, or usage-limit mechanism;
  4. resell or sublicense the Services, or use them in connection with any competing fork or derivative work;
  5. use, evaluate, or benchmark the Services, or use any information derived from them (including performance, benchmark, routing, or architectural information), for the purpose of researching, designing, developing, or assisting any product or service that competes with the Services;
  6. use Output to develop or train an AI model or service that competes with the Services, where prohibited by an AI Provider; or
  7. use the Services unlawfully or in violation of §6 (Acceptable Use).

9.3 Aggregated and de-identified data. AISIX may create and use aggregated or de-identified data — including data derived from Customer Content — to operate, secure, analyze, and improve the Services, provided such data does not identify Customer or any individual and cannot reasonably be used to re-identify them. AISIX does not use Customer Content, or data derived from it, to train, fine-tune, or develop AI or machine-learning models (see §5.2).

10. Term and Termination

This Agreement commences when you create an account and remains in effect until terminated. You may terminate by ceasing to use and closing your account. We may suspend or terminate your access if you breach this Agreement, if we reasonably determine your use poses a risk to the Services or others, or if your use may be unlawful. Upon termination, your rights under this Agreement end and you remain responsible for fees incurred through termination.

11. Warranties and Disclaimers

Each Party represents that it has full power to enter into this Agreement. EXCEPT AS EXPRESSLY SET FORTH HEREIN, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, AND AISIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AISIX DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT OUTPUT WILL BE ACCURATE OR FIT FOR ANY PURPOSE.

12. Limitation of Liability

We and our affiliates and licensors will not be liable for any indirect, incidental, special, consequential, or exemplary damages (including loss of profits, goodwill, use, or data), or for any charges an AI Provider bills for your usage, or for any reliance on Output. Our aggregate liability under this Agreement is limited to the amount you actually paid AISIX for the Services giving rise to the claim during the 12 months preceding the claim.

13. Indemnification

You will defend, indemnify, and hold harmless AISIX, its affiliates and licensors, and their personnel from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to (a) your Input or your use of Output; (b) your use of the Services or any AI Provider in violation of this Agreement, §6, or an AI Provider's terms; or (c) your violation of applicable law or any third party's rights.

14. General

14.1 Independent contractors; assignment. The Parties are independent contractors. Neither may assign this Agreement without the other's prior written consent. If any portion is held invalid or unenforceable, the remainder remains in effect.

14.2 Entire agreement. This Agreement is the entire understanding between the Parties on its subject matter and supersedes all prior or contemporaneous agreements or communications.

14.3 Notice. Notices must be in English. We may notify you by posting on the website for the applicable Service or by emailing the address associated with your account. To notify us, email support@api7.ai.

14.4 Choice of law; jurisdiction. This Agreement is governed by and construed in accordance with the laws of Singapore, without reference to its choice-of-law rules. The sole and exclusive jurisdiction and venue for actions arising under this Agreement will be the courts of Singapore, and each Party consents to their personal jurisdiction.

14.5 Amendments. We may amend this Agreement by posting a revised version on the site for the applicable Service or by notifying you by email. By continuing to use the Services after the effective date of an amendment, you agree to be bound by the amended terms.
